Terms and Conditions of the Paseet Platform

Preamble

By creating your account on the Paseetah platform (hereinafter, "Paseetah"), the "User"—being an entity or an individual who benefits from the services directly or indirectly, whether for commercial or non-commercial purposes for any of the products on the platform—agrees to comply with everything stated in these Terms and Conditions, the Privacy Policy, and the Acceptable Use Limits published on the platform and subject to the laws of the Kingdom of Saudi Arabia. Please note that the Terms and Conditions, Privacy Policy, and Acceptable Use Limits are continuously updated and the user will be notified accordingly. Therefore, the user must review them regularly. Paseetah undertakes to provide all services that help ensure user satisfaction and to provide all required needs.

Definitions

• Paseetah: The Paseetah platform owned by Paseetah Technology Solutions Co., Commercial Registration No. (1010793025), address: Riyadh, Othman bin Affan Road (may Allah be pleased with him).
• Paseet or the Platform: The Paseet platform you are currently browsing upon accessing these Terms and Conditions, owned by Paseetah Technology Solutions Co., Commercial Registration No. (1010793025), address: Riyadh, Othman bin Affan Road (may Allah be pleased with him).
• User: Anyone who creates an account on the platform to benefit from the services provided by Paseetah, whether free services or services subject to monthly or annual subscription fees.
• Products/Services: The platform provides users and visitors with information in the form of texts, data pages, indicators, transactions, real-estate listings, and other related information (including demographic and urban development data, etc.), which are presented across numerous web pages and via different methods and technologies.

Legal Nature of the Terms and Conditions

1. The user should recognize that these Terms and Conditions of Use constitute a binding agreement between you and Paseetah.
2. If you do not agree to be bound by the Terms and Conditions, you may not access the services on the platform. Your use of the platform constitutes your acceptance of the rights and obligations contained in the Terms and Conditions, Privacy Policy, and Acceptable Use Limits, and your consent to conduct and manage transactions electronically.

Terms and Conditions for Registration on the Platform

1. The platform requests permission to collect accurate information from your device in accordance with the permissions system used by your operating system. You can later disable this permission by changing your device settings; however, please note that disabling it will limit your ability to benefit from certain features within the platform.
2. By registering on the platform, you acknowledge providing true, complete, and accurate information and agree to update it upon any change. You also agree that the platform may store your registration data in your account.
3. When registering, you must not use inappropriate names or ambiguous letters/numbers.
4. Do not disclose any information related to your account to anyone else. You are solely responsible for maintaining the confidentiality and security of your account and all activities conducted through or via it.
5. If the account is deleted, you will not be able to recover your content.
6. By accepting these Terms and Conditions, you undertake to notify Paseetah of any breach of your account's security.
7. Paseetah has the right to request any documents—official or otherwise—to verify your identity.
8. Paseetah may suspend the account if it determines it is being used by a third party through fraud. The user may request reinstatement thereafter.
9. Paseetah may impose restrictions on your use of all or some account features whenever it observes any act or negligence by you, without notice and without any liability.
10. Creating an account on the Paseetah platform results in an automatic account being created on Paseet with the same data, and creating an account on Paseet results in a parallel account on Paseetah. Any subsequent change to account data in either service is automatically synchronized with the corresponding account.

User Obligations to the Platform

By accepting these Terms and Conditions, you undertake toward Paseetah the following:

1. You acknowledge that you are a natural person who has reached the legal age of eighteen (18) Hijri years to enter into these Terms and Conditions, or that you are legally authorized to enter into agreements on behalf of any legal entity or natural person.
2. You acknowledge and agree that use of the platform is through your account and solely under your responsibility.
3. You agree to hold Paseetah harmless from any obligations or claims by third parties arising from any act by you that causes harm in any form through your use of the platform. This includes—but is not limited to—court costs, attorneys' fees, third-party indemnity claims, or any expenses or costs incurred by Paseetah as a result of such act.
4. You agree to hold Paseeath harmless from any obligations or claims that may affect you as a result of your breach of these Terms and Conditions or any other obligation arising therefrom.
5. You undertake to indemnify Paseetah for any losses, damages, costs, or expenses incurred by Paseetah as a result of any act by you that violates laws, customs, or principles, including these Terms and Conditions.
6. You undertake that all data and information you enter are true, complete, and accurate and that you bear sole responsibility for any consequences arising from such data or any breach of obligations. Paseetah has the right at all times to verify information provided by the user and to reject any offer or platform use without stating reasons.
7. Paseetah disclaims liability for damages arising from the inaccuracy of platform content and user-provided data—whether such content includes incorrect, incomplete, offensive, or inappropriate information, or defects, viruses, or malware—unless such damage results from intentional misconduct or gross negligence by Paseetah. Platform content does not constitute a recommendation, endorsement, or certification of any listings.
8. You agree that Paseetah may remove any services, temporarily or permanently, at any time without notifying you.
9. Paseetah is not responsible for any data loss or problems resulting from user misuse.
10. Any case in which Paseetah's non-liability is established shall extend to include its directors, officers, and employees.

Copyright

1. Paseetah respects laws governing copyright and expects platform users to comply with applicable laws.
2. Paseetah may terminate the accounts of users who, for example and without limitation, violate copyright laws or the platform's published Terms, Conditions, and policies.
3. Paseetah may block and/or remove any content, in whole or in part, that it deems inconsistent with the platform's published Terms and Conditions.
4. The user or visitor agrees to promptly notify Paseetah of any content that violates user/visitor privacy or breaches the platform's Terms and Conditions, and to provide sufficient and accurate information enabling Paseetah to investigate. Paseetah undertakes to exercise due care in verifying any complaint received and to take such measures as it deems appropriate at its discretion. Receipt and investigation of a complaint does not oblige Paseetah to block or remove content in whole or in part.

Intellectual Property Rights

1. Paseetah owns the rights of ownership, disposition, and usufruct, including—without limitation—(intellectual property rights in the platform and products offered on it; suggestions, ideas, recommendations, requests; graphics, videos, editorial content, texts, software used to deliver the service; designs, interfaces; and other information related to the platform and provided by users or any third party). The Terms and Conditions published on the platform do not constitute a sale and do not transfer to the user or visitor any ownership rights—intellectual or otherwise.
2. The user acknowledges that the intellectual property of this platform is the exclusive property of Paseetah, including—without limitation—the platform name, logo, and services offered. They constitute a trademark of the platform. Accordingly, the user undertakes not to use them for any purpose other than those stated in the Acceptable Use Limits.
3. Paseetah grants no right or license to use the platform other than for its intended purposes as set out herein. Therefore, you undertake that you will not: a) design and/or create a competing platform or service; b) design and/or create a platform that uses the same services, ideas, features, or functions—or copy any services, ideas, features, functions, or content belonging to the platform. Any violation constitutes an infringement of Paseetah's intellectual property rights, and Paseetah's management has the right to pursue the infringer under the applicable laws stated below and to claim compensation.

Subscription and Payment

1. Paseetah provides a free service on the platform through which the user can view some services offered by Paseetah; however, full features of the platform are only available through a prepaid monthly/annual subscription.
2. Paseetah may modify or remove the free service from the platform at any time.
3. Subscription fees are non-refundable. They cannot be refunded or the effective date of the subscription deferred after payment is completed.
4. Prepaid plans renew automatically. A user who does not wish to renew must cancel auto-renewal at least six hours before the renewal time via the Subscription Management page.
5. After subscribing, a payment invoice is issued to the user and sent to the email registered on the platform.
6. Paseetah reserves the right to impose new fees for using the platform and to collect any fees, charges, taxes, or other costs payable by the user, and to determine and process payment methods to ensure delivery of the service. In such case, Paseetah will inform you and allow you to continue using the services or to terminate the subscription.
7. If the platform introduces new services that did not exist at the time of your subscription, Paseetah may, at its discretion, choose not to make them available to you or to include them within your subscribed plan. The platform may, at any time and as it deems in the best interest, suspend or stop some services that were active at the time of your subscription, provided such suspension is not limited to your account alone—unless due to your breach of platform policies.

Automatic Subscription Renewal

1. Upon expiry of the current subscription term, the subscription is renewed automatically for the same term and plan unless the user cancels renewal at least six hours before the charge time.
2. The platform sends a notification to the registered email at least three days prior to renewal, stating the charge date and the name of the subscribed plan.
3. Paseetah may modify subscription fees or the features of the subscribed plan. The user will be notified at least seven (7) days before auto-renewal. The user's continued use of the platform after the amendment takes effect constitutes implicit acceptance of it.
4. If the user does not agree to the changes referred to in clause (3), the user must stop auto-renewal within the specified period; otherwise, the modified fees will be charged and will be due and non-refundable.
5. If it is not possible to charge the registered payment method, the platform will send a notification via email indicating the failure. Paseetah grants a grace period of up to seven (7) days during which the user may continue to benefit from the subscribed plan's services. If the grace period lapses without payment, Paseetah may partially or fully suspend the service or terminate the subscription without further notice.
6. Fees paid for any renewed subscription period are non-refundable, and the effective date of the subscription will not be deferred after the charge is completed.

Termination of Subscription

1. The user may terminate the subscription at any time by closing the account following the instructions on the platform; as a result, the user will not be able thereafter to retrieve their content, subscription, or any remaining balance.
2. Paseetah may terminate the subscription immediately and without notice in the event of misuse of the platform or violation of any of the platform's published Terms and Conditions, laws, regulations, customs, or principles.
3. After termination, the user remains responsible for all obligations and claims arising prior to termination.

Usage Balance

1. The usage balance on the platform is measured in messages (Prompts), where a "message" means each request the user sends to the AI model.
2. Each plan is allocated a specific number of messages as announced on the Pricing page. The balance decreases automatically with each consumed message. When the balance is exhausted, it becomes impossible to use the platform until the subscription is renewed or additional balance is added.
3. The user may view remaining messages at any time and may add additional balance at any time through the Balance Management page.

In-Platform Additional Payments

1. Paseetah enables users to purchase additional digital products or services within the platform that are not included in the core plans or monthly/annual subscriptions, including, without limitation: (additional usage balance).
2. These payments are separate from the subscription and are prepaid according to the prices announced at the time of purchase. Completion of payment constitutes the user's final and unconditional acceptance of the additional service/product.
3. Paseetah is not obligated to refund, replace, or compensate for any additional payments made within the platform—whether due to user dissatisfaction with the service/product, mismatch with expectations, or for any other reason—unless there is a fundamental defect in the service resulting from gross negligence by Paseetah.
4. It is the user's responsibility to verify details of the additional service/product before purchase. Paseetah confirms that all details and content related to the product/service are sufficiently explained to enable an informed purchase decision.
5. Paseetah reserves the full right to modify, update, or delete any additional products or services offered within the platform without prior notice and without any obligation to provide a substitute for services or products purchased before such modification or deletion.
6. The user acknowledges that any additional in-platform payments are also subject to all other published Terms and Conditions, Privacy Policy, and Acceptable Use Limits and form an integral part thereof.

In-Platform Discounts

1. Paseetah may offer discounts or promotional offers on digital products or services as announced from time to time within the platform.
2. The discount is applied automatically upon entering the promo code or when the reduced price appears on the checkout page. Completion of payment constitutes final and unconditional acceptance of the discounted price.
3. More than one discount may not be combined for the same purchase unless Paseetah expressly states otherwise.
4. If a user receives a discount when subscribing to a plan, the discount is limited to that specific paid transaction only and does not automatically extend to any subsequent renewal or purchase.
5. Paseetah reserves the full right, without prior notice, to modify or discontinue any discount or promotional offer whenever it deems appropriate, without any obligation to refund or compensate for payments completed before the modification or cancellation.

Nature of Data Published on the Platform

The data listed on the platform are general indicators for the user that may be used to form preliminary, indicative assessments for personal use and should not be shared with third parties. They should not be relied upon alone for investment decisions, valuation reports, litigation or disputes, nor cited as documented and final information in any official instrument.

Errors on the Platform

Products and materials appearing on the platform may include technical, typographical, or photographic errors. We do not guarantee the accuracy, completeness, or timeliness of any materials on the platform.

Provision of Services During the Subscription Period

1. At Paseetah, we endeavor to ensure our platform and services are available to you at all times. However, we do not guarantee continuous, uninterrupted, or error-free operation. At times, necessary maintenance or development may require suspending the platform and services without notice. While we seek to minimize downtime, we bear no responsibility for any service interruption or loss for any duration.
2. Scheduled, emergency, or developmental maintenance does not constitute a suspension of the service or subscription. Platform downtime for maintenance and development is a normal and expected occurrence during the subscription term and does not affect its validity.
3. Paseetah bears no responsibility for any loss of password or account where caused by an error in it or due to your computer system and/or your account.

Third Parties

Dear user/visitor, the platform may contain links, hyperlinks, and references to external products and services not belonging to Paseetah and outside Paseetah's control. We do not guarantee nor assume responsibility for them, and no links or advertisements of any kind on the platform shall be construed as recommendations by Paseetah. The user agrees to hold Paseetah harmless from any claims or disputes of any kind arising from or in any way related to such third-party disputes.

Amendments to the Terms and Conditions

Paseetah may, at its discretion, update and modify the platform and these Terms and Conditions or any other policy on the platform—by change, addition, deletion, suspension, or termination—whenever it deems appropriate and without stating reasons. The user will be notified, and such updates become effective and operative upon being sent. Paseetah assumes no liability toward the user or any third party. We therefore advise you to review the Terms and Conditions regularly to stay informed of any updates or changes. If you do not wish to be bound by any updated policy, you may stop using the platform and close your account—bearing in mind that in such a case the platform has no obligation to refund any funds.

Notices and Notifications

Paseetah communicates with users via general notices on the platform through alerts or a pop-up message upon login or visit, or via email to the address registered in the user's platform account information.

Governing Law / Dispute Resolution

These Terms and Conditions are governed by the laws and regulations of the Kingdom of Saudi Arabia, which are the applicable laws for resolving any disputes or claims, whether domestic or international. In the event of any disagreement regarding the implementation or interpretation of the platform's provisions or terms of use, all efforts shall be made to resolve it amicably. If that is not possible, the dispute shall be referred to the competent court in Riyadh to settle all disputes and claims arising from any breach, termination, performance, interpretation, or validity of these terms, or due to use of the platform.

General Provisions

1. By using the platform or services, the user/visitor agrees to use the platform solely for exclusive, personal, internal, and lawful purposes, and undertakes not to resell it to third parties, sub-license it, transfer or assign it, distribute it, commercially exploit it, or enable others to use it by any means, or to use it fraudulently, or to take any action that could in any way cause harm to Paseetah.
2. Do not breach or circumvent the Terms and Conditions, Privacy Policy, Acceptable Use Limits, or any third-party rights.
3. Do not violate platform restrictions or bypass/circumvent any other measures used to prevent or restrict access to this platform.
4. Do not collect information about other platform users for commercial or other purposes.
5. Do not take any action that may damage Paseetah's reputation.
6. Do not impersonate a Paseetah employee or suggest you are affiliated with Paseetah unless you have Paseetah's official authorization.
7. Do not obtain or attempt to obtain unauthorized access to the platform or any member account on it, nor impersonate any person or misrepresent your identity with another person.
8. Do not use another person's account, authorize others to use your account, or assign or transfer the account to other persons or legal entities.
9. Do not take any action that may harm the platform and/or the proper operation of the network, including—without limitation—damaging services provided to users or platform permissions by any means.
10. Comply with all applicable laws in the Kingdom of Saudi Arabia and the laws in your place of residence while using the platform or service.
11. All provisions in the Terms and Conditions, Privacy Policy, and Acceptable Use Limits are complementary to one another. If any article, clause, or condition is or becomes invalid, such invalidity does not affect the validity and enforceability of the remaining articles, clauses, and conditions. In such cases, Paseetah may correct the invalid clause to conform with the relevant laws, regulations, and principles whenever appropriate.
12. Paseetah's failure to enforce any term or provision shall not be deemed a waiver of that term or provision.
13. Your continued use of the platform after being notified of any changes or updates to its policies constitutes your acceptance of those changes. If you do not agree, you must immediately stop using the platform and close your account.
14. When using the platform or communicating with the Paseetah team by email, you are communicating with us electronically and consent to receive any messages related to your use of the platform over the internet. We will communicate with you via email or by posting notices on the platform. All notifications sent by us to the email address registered on the platform for your account are deemed delivered and effective upon sending.
